Short answer: most non-resident LLC owners never need an ITIN. You do not need one to form the LLC, to get an EIN, or to open a US business account. You need one when you personally have to file a US return, claim a treaty benefit, or hand a payer a completed W-8BEN. If none of those describes you, the correct move is to not apply.

What an ITIN actually is

An Individual Taxpayer Identification Number is a nine-digit number the IRS issues to people who have a US tax reporting obligation but are not eligible for a Social Security Number. It starts with a 9. That is the whole of it.

It is not a work permit, not a visa, not a form of US status, and not a benefit. The IRS issues it for one reason: so that a return or an information document can be matched to a person who has no SSN. Everything else attributed to an ITIN in the offshore-services corner of the internet is invention.

The confusion in the LLC world comes from stacking three unrelated numbers into one mental slot. The LLC needs an EIN. You, personally, usually need nothing.

When you genuinely need an ITIN

There is a short list, and it is worth being honest that it does not include most readers of this page.

You have to file a Form 1040-NR. If your LLC’s activity crosses into being engaged in a trade or business in the United States, the resulting effectively connected income lands on your personal non-resident return, and that return needs a taxpayer number. This is the most common real trigger. Whether you cross that line is decided by the ETBUS test, not by your revenue, and Form 1040-NR for LLC owners covers what follows if you do.

You are claiming a treaty benefit on US-source income. If you receive US-source passive income and want the reduced treaty rate rather than the flat 30% statutory withholding, the withholding agent needs a valid W-8BEN, and a treaty claim on that form generally requires a US taxpayer number.

You are a partner in a multi-member LLC with US business income. Partnership withholding and the associated filings run against the individual partner, and the partner needs a number. Note a procedural change here: since 1 June 2026, a Certifying Acceptance Agent submitting a W-7 under the partnership exception must include the portion of the operating or partnership agreement showing the entity name, its EIN, and the applicant’s name and signature, evidencing that the applicant is a partner in a partnership conducting business in the United States. If you are applying through a CAA on this basis, have that document ready.

A payer or platform will not proceed without one. This happens, and it is worth separating the cases where the request is correct from the cases where a support agent is reading the wrong script. Sometimes the requirement is real. Often the correct answer is a properly completed W-8BEN or W-8BEN-E, which does not require an ITIN unless a treaty claim is being made.

When you do not need one, despite what you were told

Forming the LLC. No state asks for a personal US tax number to register a company. A registered agent and the filing are the whole requirement.

Getting the EIN. Form SS-4 has a documented path for a responsible party who has neither an SSN nor an ITIN: the identification field is completed as “Foreign”, and the application goes by fax or mail rather than through the online tool, which is restricted to applicants who already hold a US number. Opening the bank account. Mercury, Relay and the rest underwrite the entity and its beneficial owner using a passport and the formation documents. An ITIN is not part of that file. If your application is being declined, the reason is somewhere else, and the rejection guide covers the usual causes.

Filing Form 5472. The annual information return that every foreign-owned single-member LLC files, with its pro-forma 1120, identifies the entity by EIN and the foreign owner by name, address and country. It does not require an ITIN for the owner.

That last one deserves emphasis, because it is where the myth does real damage. Founders delay their Form 5472 filing while waiting for an ITIN they never needed, and the penalty for a late 5472 is $25,000, automatic, per year.

The three ways to apply

The application is Form W-7, submitted with your tax return or with the documentation supporting whichever exception applies, plus proof of identity and foreign status. For almost every LLC owner, a valid passport is the only identity document required, because it is the single document that establishes both identity and foreign status on its own.

What differs is how the passport gets verified.

The economics here are not close. A passport sitting in an IRS mailroom for two months is a genuine operational risk if you travel, and the CAA fee is small next to the cost of not being able to leave the country.

How long it takes, honestly

Outside filing season, expect 7 to 11 weeks from the date the IRS receives a complete application. From mid-January to the end of April, volume pushes that to 9 to 11 weeks or longer. Those figures are IRS processing time and do not include international mail in either direction.

The operational rule we give clients: if an ITIN has to exist by a filing deadline, start about 15 weeks before it. If that window has already closed, the answer is usually to file on time with the ITIN application attached rather than to file late waiting for a number.

Where applications actually fail

After enough of these, the failure modes are repetitive and almost all avoidable.

No qualifying reason. The W-7 requires a reason code, and “I own an LLC” is not one of them. An application submitted without a return attached and without a documented exception is rejected. This is the most common rejection we see, and it is the direct consequence of applying when you did not need to.

An uncertified passport copy. A notarised copy is not a certified copy. The certification has to come from the authority that issued the passport, or from a CAA, or be done in person at a TAC.

A name mismatch. The name on the W-7, the passport and the tax return must match exactly. Two surnames, accents, transliterations and abbreviations all cause rejections, and each rejection costs a full processing cycle.

Letting it lapse. An ITIN unused on a return for three consecutive years expires. Renewal takes as long as the original application, and it is invariably discovered at the worst moment, which is the week a return is due.

Frequently asked questions

Do I need an ITIN to open a US LLC?

No. You do not need an ITIN to form an LLC in any US state, to obtain an EIN, or to open an account at Mercury or Relay. Formation requires a registered agent and a state filing; the EIN is obtained on Form SS-4 with the responsible party identified as a foreign person. The ITIN is a personal tax number, and it becomes relevant only when you personally have to interact with the IRS.

Do I need an ITIN to get an EIN?

No, and this is the single most common misunderstanding we correct. Form SS-4 has a specific path for a responsible party with no SSN or ITIN: you write 'Foreign' in the identification field and the application is processed by fax or mail rather than online. If someone tells you an ITIN is a prerequisite for an EIN, they are describing a process they have not run.

How long does an ITIN take in 2026?

Plan on 7 to 11 weeks outside filing season and 9 to 11 weeks or longer between mid-January and the end of April, measured from the date the IRS receives a complete application. Add international mail time in both directions if you are sending documents yourself. If the ITIN has to exist before a filing deadline, start roughly 15 weeks ahead.

Can I apply for an ITIN without mailing my passport?

Yes. Two routes avoid it: an appointment at an IRS Taxpayer Assistance Center, which is only useful if you are travelling to the United States anyway, or a Certifying Acceptance Agent, who verifies your original passport and certifies it on your behalf. The CAA route typically costs between $150 and $350 and exists precisely so that your passport never leaves your hands.

Does an ITIN expire?

Yes. An ITIN that is not used on a federal tax return for three consecutive years expires, and the IRS also runs periodic expiry cycles by issuance range. This matters for LLC owners who obtain one for a single filing and then stop needing it: the number quietly dies, and the renewal takes as long as the original application did.

Will an ITIN make me a US tax resident?

No. An ITIN is an identification number issued precisely because you are not eligible for a Social Security Number, which is to say precisely because you are not in the US employment and residency system. It creates no residency, no presence and no tax liability of its own. What creates liability is income effectively connected with a US trade or business, which is a separate question entirely.
